License Agreement for Annnimate

Effective Date: December 16th, 2024

This License Agreement (“Agreement”) is a legally binding contract between you (“Licensee”) and Annnimate (“Licensor”) regarding the use of animations, scripts, and other related content (“Licensed Content”) provided by Annnimate. By accessing or using the Licensed Content, you agree to the terms of this Agreement.

1. Grant of License

1.1 License Type:
Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the Licensed Content solely for integration into web projects or other platforms as permitted by this Agreement.

1.2 Permitted Use:

• Use the Licensed Content in personal, commercial, or client projects.
• Modify the Licensed Content as necessary for integration purposes.

1.3 Prohibited Use:

• Redistribute, resell, sublicense, or otherwise transfer the Licensed Content.
• Use the Licensed Content in a way that competes with Annnimate, such as in animation libraries or SaaS platforms.
• Remove or obscure copyright or proprietary notices, if applicable.

2. Ownership

The Licensed Content remains the sole property of Licensor. This Agreement does not transfer any ownership rights to the Licensee.

3. Third-Party Dependencies

3.1 The Licensed Content may incorporate third-party libraries (e.g., GSAP). By using the Licensed Content, Licensee agrees to comply with the licensing terms of such third-party libraries.
3.2 Licensor is not responsible for any restrictions or obligations imposed by third-party licenses.

4. Attribution

Attribution to Licensor is not required unless explicitly stated in the Licensed Content or accompanying documentation.

5. Termination

5.1 This license will automatically terminate if the Licensee violates any terms of this Agreement. Upon termination, Licensee must immediately cease using the Licensed Content and remove it from all projects.

5.2 Licensor reserves the right to terminate the license at any time for any reason, provided reasonable notice is given to the Licensee.

6. Disclaimer of Warranties

The Licensed Content is provided “as is” without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, non-infringement, or compatibility with third-party software.

7. Limitation of Liability

Licensor shall not be liable for any damages arising from the use or inability to use the Licensed Content, including but not limited to direct, indirect, incidental, or consequential damages.

8. Governing Law

This Agreement is governed by the laws of [Insert Jurisdiction]. Any disputes arising from this Agreement shall be resolved in the courts of [Insert Jurisdiction].

9. Modifications

Licensor reserves the right to modify this Agreement at any time. Continued use of the Licensed Content after modifications constitute acceptance of the revised terms.
